Terms and Conditions for Exergy's Dealer Support Portal ("The Portal")
- Introduction Welcome to Exergy's Dealer Support Portal, herein referred to as "The Portal". This Portal is specifically designed and intended for use exclusively by Exergy's authorized resellers, including Distributors and Dealers. The purpose of the Portal is to facilitate these authorized resellers in accessing sales and marketing materials essential for the promotion and sale of Exergy products.
- Acceptance of Terms By accessing and utilizing the Portal, you, as a Reseller, acknowledge and agree to these Terms and Conditions. These Terms and Conditions are binding upon you in relation to your use of the Portal. If you are not an authorized reseller or do not agree to these terms, you are not permitted to use the Portal.
- Scope and Use of the Portal The Portal provides access to proprietary and sensitive information including but not limited to sales materials, marketing resources, digital content, and pricing information. The use of the Portal and its contents is strictly limited to assisting you, as an authorized Reseller, in the marketing and selling of Exergy products.
- Confidentiality and Proprietary Rights As a user of the Portal, you acknowledge that all information contained within is confidential and proprietary to Exergy. You are obligated to use this information solely for the purpose of promoting and selling Exergy products and are prohibited from disclosing this information to any third party without the express written consent of Exergy.
- Submission of Digital Content Resellers are permitted to submit digital content to the Portal, including but not limited to videos, images, and sound clips. By submitting such content, you affirm that you possess the legal rights for such submission and that the content does not violate any third-party rights.
- Media Release Authorization A completed Media Release Form, as provided by Exergy, must accompany each submission of digital content to the Portal. This form serves as your authorization for Exergy to utilize the submitted content for promotional and other business-related purposes.
- Data Collection and Privacy In the course of using the Portal, Exergy may collect both personal and non-personal information from Resellers. The collection and use of this information will be governed by Exergy's Privacy Policy, which is accessible on the Portal.
- Limitation of Liability Exergy bears no liability for any damages that may arise from your use of the Portal or reliance on the information contained within.
- Amendments to Terms Exergy reserves the right to modify these Terms and Conditions at any time. Continued use of the Portal following any such changes constitutes acceptance of the new Terms and Conditions.
- Governing Law These Terms and Conditions are governed by and construed in accordance with the laws of the State of Michigan.
